What does the final contract look like? 

Once you and the seller have agreed on the terms, the details need to be specified in a contract. Ensure that you itemize every aspect of the sale.  At this point it’s a good idea to bring in your lawyer.  Your business broker can assist you with the high-level details, but in the end both parties should have their lawyers review the final documentation and advise their respective clients.
